1. Acceptance of these Terms
These Terms of Service ("Terms") form a binding agreement between you and Reimba ("Reimba", "we", "us", "our") governing your access to and use of the Reimba web app, mobile apps, APIs, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms. If you are using the Service on behalf of a company or other organisation, you represent that you are authorised to bind that organisation, and "you" refers to that organisation. If you do not agree, do not use the Service.
2. Who we are and what we provide
Reimba provides cloud-based expense management, approval, and reimbursement software for businesses and their submitters across multiple regions and currencies. The Service lets workspaces capture receipts, route approvals, reconcile transactions, and disburse approved reimbursements to submitters and vendors through third-party payment providers. Reimba is a software provider; we are not a bank, money transmitter, or financial advisor.
3. Accounts and access
To use the Service you must create an account, either personally or as part of a company workspace. You agree to provide accurate information and to keep it up to date. You are responsible for safeguarding your credentials and for all activity that occurs under your account. Your company workspace administrator may invite, manage, change roles for, or remove users (including you), and may access, export, or delete data within the workspace. Notify us promptly of any unauthorised use of your account.
4. Acceptable use
You agree to use the Service lawfully and in good faith. You will not (a) upload content you do not have the right to share, (b) attempt to circumvent approval or access controls, (c) submit fraudulent, duplicate, or misrepresented expenses, (d) reverse-engineer, scrape, or attempt to derive source code from the Service, (e) interfere with or disrupt the integrity or performance of the Service, (f) attempt to gain unauthorised access to any system or data, or (g) use the Service for any unlawful, infringing, or abusive purpose.
5. Your content and data
Expenses, receipts, reports, and other data you or your workspace upload ("Customer Data") remain yours. You grant Reimba a worldwide, non-exclusive licence to host, process, transmit, and display Customer Data solely to provide and improve the Service for you and your workspace, and as otherwise permitted by these Terms. You are responsible for the accuracy, quality, and legality of Customer Data and for the means by which you acquired it. Our handling of personal information is described in our Privacy Policy.
6. Plans, billing and payouts
Some features require a paid plan. Plan fees, usage limits, and any third-party fees passed through from our payment providers are shown in-app before you subscribe. Paid plans renew on a recurring basis until cancelled, and fees are non-refundable except where required by law.
Reimbursements and vendor payouts are executed through third-party payment providers (such as Paystack and Flutterwave), each subject to its own terms. You are responsible for ensuring that beneficiary and payout details you submit are accurate and that you are authorised to disburse the relevant funds. Reimba is not responsible for delays, reversals, or failures caused by a payment provider, a receiving bank, or incorrect details you provide. Where a transfer fails or is reversed, the Service may allow a retry, subject to safeguards that prevent duplicate disbursement.
7. Service availability and support
We work hard to keep Reimba reliable, but the Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free access, and we may modify, suspend, or discontinue features, or suspend access for maintenance, security, or legal reasons. We will make reasonable efforts to give advance notice of material changes.
8. Termination
You may close your account at any time from the in-app Settings (web) or Profile (mobile) screens. Closing your account deactivates your sign-in; expenses you previously submitted remain in your workspace for audit and record-keeping purposes. Your company administrator may also deactivate your access. We may suspend or terminate access if you materially breach these Terms, if required by law, or to protect the Service or other users. Provisions that by their nature should survive termination (including content licences granted to us, disclaimers, and limitations of liability) will survive.
9. Disclaimers
To the maximum extent permitted by law, Reimba disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. The Service is a tool to help you manage expenses and is not a substitute for professional accounting, tax, or legal advice. You are responsible for verifying that your use of the Service complies with applicable tax, accounting, and regulatory requirements in your jurisdiction.
10. Limitation of liability
To the maximum extent permitted by law, Reimba will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service. Our total aggregate liability for any claim will not exceed the fees you paid us for the Service in the twelve months preceding the event giving rise to the claim.
11. Changes to these Terms
We may update these Terms from time to time. If we make a material change we will notify you in-app or by email before it takes effect. Your continued use of the Service after an update takes effect constitutes acceptance of the revised Terms.
